YOUR RIGHT TO USE THE McGRAW-HILL CONTENT IS GOVERNED BY THESE TERMS. LICENSE:  "You" as used in these Terms shall mean either the individual or the entity whose agent opens this package.  You are granted a limited, non-exclusive and non-transferable license to use the McGraw-Hill Content subject to these Terms.  

You may make one copy of the McGraw-Hill Content for back-up purposes only and you must maintain an accurate record as to the location of the back-up at all times.

PROPRIETARY RIGHTS; RESTRICTIONS ON USE AND TRANSFER:  All rights (including but not limited to patent, copyright and trademark) in and to the McGraw-Hill Content are owned by McGraw-Hill and its licensors.  You are the owner of the enclosed disc on which the McGraw-Hill Content is recorded.  You may not use, copy, decompile, disassemble, reverse engineer, modify, reproduce, create derivative works, transmit, distribute, sublicense, store in a database or retrieval system of any kind, rent or transfer the McGraw-Hill Content, or any portion thereof, in any form or by any means (including electronically  or otherwise); except  you may make one copy of the McGraw-Hill Content for back-up purposes only, you must reproduce the copyright notices, trademark notices, legends and logos of McGraw-Hill and its licensors that appear on the McGraw-Hill Content on such back-up copy and you must maintain an accurate record as to the location of the back-up copy at all times  All rights in the McGraw-Hill Content not expressly granted herein are reserved by McGraw-Hill and its licensors.

TERM:  The license to use the McGraw-Hill Content is effective until terminated.  It will terminate if you fail to comply with of these Terms.  Upon termination, you are obligated to return to McGraw-Hill the McGraw-Hill Content together with all copies thereof and to purge and destroy all copies of the McGraw-Hill Content included in any and all systems, servers and facilities. 

DISCLAIMER OF WARRANTY:  THE McGRAW-HILL CONTENT AND THE BACK-UP COPY OF THE McGRAW-HILL CONTENT ARE LICENSED "AS IS".  McGRAW-HILL, ITS LICENSORS AND THE AUTHORS MAKE NO WARRANTIES, EXPRESS OR IMPLIED, AS TO RESULTS TO BE OBTAINED BY ANY PERSON OR ENTITY FROM USE OF THE McGRAW-HILL CONTENT AND/OR THE THIRD PARTY PRODUCTS.  McGRAW-HILL, ITS LICENSORS AND THE AUTHORS MAKE NO EXPRESS OR IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OR USE WITH RESPECT TO THE McGRAW-HILL CONTENT AND/OR THE THIRD PARTY PRODUCTS.  IN ADDITION, McGRAW-HILL, ITS LICENSORS AND THE AUTHORS MAKE NO WARRANTY REGARDING THE ACCURACY, ADEQUACY OR COMPLETENESS OF THE McGRAW-HILL CONTENT AND/OR THE THIRD PARTY PRODUCTS.  NEITHER McGRAW-HILL, ANY OF ITS LICENSORS, NOR THE AUTHORS WARRANT THAT THE FUNCTIONS CONTAINED IN THE McGRAW-HILL CONTENT AND/OR THIRD PARTY PRODUCTS WILL MEET YOUR REQUIREMENTS OR THAT THE OPERATION OF THE McGRAW-HILL CONTENT AND/OR THIRD PARTY PRODUCTS WILL BE UNINTERRUPTED OR ERROR FREE. LIMITED WARRANTY FOR DISC:  To the original licensee only, McGraw-Hill warrants that the enclosed disc on which the McGraw-Hill Content is recorded is free from defects in materials and workmanship under normal use and service for a period of ninety (90) days from the date of purchase.  In the event of a defect in the disc covered by the foregoing warranty, McGraw-Hill will replace the disc.

LIMITATION OF LIABILITY:  NEITHER McGRAW-HILL, ITS LICENSORS NOR THE AUTHORS SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, CONSEQUENTIAL OR SIMILAR DAMAGES, SUCH AS BUT NOT LIMITED TO, LOSS OF ANTICIPATED PROFITS OR BENEFITS, RESULTING FROM THE USE OR INABILITY TO USE THE McGRAW-HILL CONTENT AND/OR THIRD PARTY PRODUCTS EVEN IF ANY OF THEM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.  THIS LIMITATION OF LIABILITY SHALL APPLY TO ALL CLAIMS OR CAUSES OF ACTION WHATSOEVER WHETHER SUCH CLAIM OR CAUSE OF ACTION ARISES IN CONTRACT, TORT, OR OTHERWISE.  IN ADDITION, UNDER NO CIRCUMSTANCES SHALL McGRAW-HILL'S LIABIILTY EXCEED THE AMOUNT PAID BY YOU FOR THE COPY OF THE BOOK THAT INCLUDES THIS DISK.  Some states do not allow the exclusion or limitation of indirect, special or consequential damages, so the above limitation may not apply to you.

U.S. GOVERNMENT RESTRICTED RIGHTS.   If the McGraw-Hill Content is acquired by or for the U.S. Government then it is provided with Restricted Rights.  Use, duplication or disclosure by the U.S. Government is subject to the restrictions set forth in FAR 52.227-19.  The contractor/manufacturer is The McGraw-Hill Companies, Inc. at 1221 Avenue of the Americas, New York, New York 10020.

GENERAL:  These Terms constitute the entire agreement between the parties relating to the McGraw-Hill Content.  Failure of McGraw-Hill to insist at any time on strict compliance with this these Terms shall not constitute a waiver of any rights hereunder.  These Terms shall be construed and governed in accordance with the laws of the State of New York without reference to the choice of law principles thereof.  If any provision of these Terms is held to be contrary to law, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.
